Kluge gives Metro a completely new start

Why he has decided to relinquish his mandate as Chairman of the Supervisory Board of Metro AG.

Duisburg, 17 October 2011. Prof. Jürgen Kluge, Chairman of the Supervisory Board of Metro AG, has announced that he will be resigning from the Board. He will step down in November. “Following the discussions concerning the management of Metro AG, I believe that it is now time for a completely new start”, Prof. Kluge announced today in Duisburg. His resignation from the Supervisory Board will now enable him to devote his full attention back to his key duties as CEO of the Group’s Managing Board. “The public dialogue concerning the management of Metro has affected the atmosphere at the company. It is my firm conviction that the interests of the company must come before personal feelings and, with this step, I aim to create greater room for manoeuvre”, he went on to say.

As CEO of the Group’s largest individual shareholder, Franz Haniel & Cie. GmbH in Duisburg, he also wants to set an example for values-based company management. “Metro AG is faced with a number of momentous challenges and needs a fresh start in the management, and the conditions for this are already in place. Metro is a magnificent company with over 280,000 motivated employees. The company deserves unanimity between the shareholders, the Supervisory Board and the Managing Board”, said Kluge. “This is an essential requirement for profitable growth.”

He will continue to devote his full attention to the Haniel Group. “I am looking forward to driving forward the company’s development to new heights.”

Franz M. Haniel supports Kluge’s resolute decision
"What Prof. Jürgen Kluge has accomplished as Chairman of the Supervisory Board of Metro AG is exceptional. He has played a key supporting role in forging a new direction for the company”, declared Franz M. Haniel, Chairman of the Supervisory Board of Franz Haniel & Cie. GmbH. “We would like to thank Prof. Kluge for his valuable contribution towards the future of Metro AG.”

Jürgen Kluge has been embroiled in discussions concerning the management of Metro AG for many months and has been subjected to many unfair personal attacks in the process. “We greatly appreciate the fact that, with this resolute decision, Prof. Kluge is sending a clear signal in favour of ending these discussions once and for all, thus enabling Metro AG to make a fresh start.” Kluge is responsible for developing a strategic project for Haniel’s future direction in agreement with the Supervisory Board, a project that will require a great deal of energy to implement. “We are looking forward immensely to supporting Prof. Kluge’s work in the long term in his capacity as CEO of Franz Haniel & Cie. GmbH”, Mr Haniel declared.
